Terms of Service
Rules for using NexaGrowthPro accounts, subscriptions, messaging workflows, AI-assisted tools, and connected services.

1. Service scope
NexaGrowthPro provides subscription software for local-business review workflows, AI-assisted site analysis, local SEO planning, lead capture, content drafts, chat tools, dashboards, integrations, and reporting. AI output is provided as a draft or recommendation and should be reviewed before use. Search rankings, review volume, lead volume, customer acquisition, and revenue are not guaranteed.
2. Accounts and locations
Each subscribed business location is treated as a separate workspace and subscription unless otherwise agreed in writing. Account owners are responsible for accurate business information, authorized staff access, permissions, connected accounts, and activity performed through their account. Credentials must be protected, and suspected unauthorized access must be reported promptly.
3. Subscriptions, setup fees, tax, and usage
Subscriptions are prepaid. Setup fees are separate unless waived or adjusted by an administrator. All prices, setup fees, custom charges, overages, discounts, credits, and adjustments are subject to applicable tax. NexaGrowthPro calculates the final approved amount internally, including plan charges, setup fees, overages, custom charges, discounts, credits, and tax. The final approved amount may be collected through the secure online payment provider or recorded through an approved offline payment method.
4. Payment, renewal, failed payment, and cancellation
Paid services may remain locked until the required payment is completed. Renewal may be attempted before the current service period ends. If payment fails, access may continue until the stated service end date while payment is resolved. If payment remains incomplete at the end date, paid services may stop, be restricted, or be suspended. Cancellation becomes effective at the current service end date unless a different written agreement applies. Setup fees, used service periods, approved usage charges, taxes, and completed custom work are not refundable unless required by law or agreed in writing.
5. Review contacts and messaging consent
Customers may upload or message only contacts they are permitted to contact. Review-contact data should be limited to information needed for the service, such as name, phone, email, appointment date, source, and message status. Customers are responsible for lawful consent, accurate contact data, quiet-hour settings, sender identification, opt-out compliance, and use of approved message templates. Customers must not send unlawful, misleading, abusive, or deceptive messages. SMS STOP requests, unsubscribe requests, and Do Not Contact records must be honored.
6. Prohibited and sensitive data
Customers must not upload medical records, diagnoses, treatment details, payment-card data, government identifiers, passwords, unlawful content, malicious files, or other data that is not necessary for the service. The secure payment provider processes card details directly. NexaGrowthPro does not require customers to place card numbers in business records, uploads, messages, support tickets, or notes.
7. Customer content and third-party services
Customers retain responsibility for business content, contact lists, review links, websites, connected accounts, approvals, and use of third-party services. Connected authentication, payment, messaging, AI, calendar, hosting, analytics, and business-profile providers operate under their own terms, privacy practices, limitations, and availability. NexaGrowthPro may suspend or limit an integration when configuration, security, provider availability, legal compliance, or platform policy requires it.
8. AI Marketing Studio and social publishing approvals
AI Marketing Studio content is AI-assisted and customer-controlled. NexaGrowthPro does not publish social content automatically. A business owner or approved manager must review and approve the exact poster, video, caption, metadata, destination, and schedule before any publishing attempt. Customers are responsible for ensuring they have rights to uploaded logos, media, music, claims, offers, and other content.
9. Connected social accounts
Facebook, Instagram, TikTok, and YouTube connections are used only for customer-approved upload or publishing workflows. NexaGrowthPro does not request ads management, messages, follower management, comment management, or full account-control permissions unless a future feature is expressly added and authorized. Customers can disconnect connected social accounts from AI Marketing Studio, and connected providers may enforce their own review, verification, audit, scope, quota, privacy, or publishing restrictions.
10. Data, privacy, export, retention, and deletion
Use of the service is also subject to the NexaGrowthPro Privacy Policy. Available exports should be downloaded before an account is archived or permanently deleted. Cancellation does not automatically erase records that must be retained for billing, security, legal, tax, fraud-prevention, dispute, or audit purposes. Permanent deletion requests require identity verification and may be subject to lawful retention obligations.
11. Availability and acceptable use
Customers must not misuse the platform, bypass access controls, interfere with service operation, send unlawful or deceptive messages, scrape protected data, abuse connected providers, upload malicious files, or attempt unauthorized access. Maintenance, provider outages, security events, rate limits, emergency work, and third-party service interruptions may temporarily affect availability.
12. Limitation of liability
To the maximum extent permitted by law, NexaGrowthPro is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, including lost revenue, lost leads, lost rankings, lost reviews, business interruption, data loss, provider outages, or customer misuse. NexaGrowthPro's total liability for a claim is limited to the amount paid by the customer for the affected service period, unless a different limit is required by law.
13. Customer responsibility and indemnity
Customers are responsible for their own business practices, uploaded data, consent records, message recipients, connected accounts, staff actions, and compliance with applicable laws and provider terms. Customers agree to defend and hold NexaGrowthPro harmless from claims, losses, penalties, costs, or expenses arising from their misuse of the service, unlawful messaging, unauthorized contact uploads, inaccurate information, or breach of these terms, except to the extent caused by NexaGrowthPro's own unlawful conduct.
14. Governing law
These terms are governed by the laws of Ontario and the applicable laws of Canada. The parties will first try to resolve disputes in good faith. If a dispute cannot be resolved informally, it will be handled in the courts located in Ontario, unless another forum is required by law.
15. Changes and contact
These terms may be updated as the service, laws, and provider requirements change. Material changes will be communicated through the application, website, or account contact information. Continued use of the service after changes take effect means the updated terms apply. Questions may be sent to support@nexagrowthpro.com.
